Terms & Conditions of Sale for Artwork
1. Introduction
These Terms & Conditions of Sale (the "Agreement") constitute a legally binding contract between the purchaser (referred to as "Buyer" or "You") and the seller (referred to as "Seller" or "We") for the sale and purchase of artwork, as described in the associated invoice or sales agreement. By purchasing artwork from the Seller, you agree to be bound by the terms and conditions outlined in this Agreement. Please read this Agreement carefully before making a purchase.
2. Artwork Description
The artwork, as described in the invoice or sales agreement, will be sold "as is." The Seller will make every effort to provide an accurate description of the artwork, including its dimensions, materials, and condition. Any additional representations or warranties not explicitly stated in this Agreement are disclaimed.
3. Pricing and Payment
The purchase price for the artwork includes the Physical Art (unless specified) and the associated NFT (Non-Fungible Token) as specified in the invoice or sales agreement and all associated taxes. It excludes shipping and insurance costs and associated taxes associated with the shipping and insurance costs where applicable.
Separate shipping, insurance costs, and associated taxes shall be invoiced to the Buyer based on their location, the size of the artwork, and its value. Payment for shipping and insurance is the responsibility of the Buyer and must be settled within the terms outlined in the separate shipping and insurance invoice.
Payment for the artwork and any associated shipping and insurance costs shall be made in the manner and according to the terms set forth in the respective invoices. Payment methods may include cash, credit card, wire transfer, or other agreed-upon methods.
4. Delivery and Shipping
The Buyer is responsible for any shipping or delivery fees associated with the physical artwork, as separately invoiced.Risk of loss and title transfer to the Buyer upon delivery, unless otherwise specified. The Buyer should inspect the artwork upon delivery and report any damage or discrepancies within seven (7) days of receipt.
5. Returns and Refunds
All sales are final. We do not accept returns or offer refunds, except in cases of misrepresentation or damage not caused by the Buyer.If a return is approved, the Buyer shall return the artwork in its original condition and packaging, and the Seller will issue a refund or provide a replacement, as determined by the Seller.
In the event that the Buyer refuses to pay the shipping and insurance costs invoiced by an approved supplier, the following provisions shall apply: An administration fee equivalent to 15% of the total purchase price of the artwork, as specified in the original invoice, shall be charged to the Buyer. The remaining amount, after deducting the administration fee, will be refunded to the Buyer.The Buyer acknowledges and agrees that the administration fee is intended to cover the Seller's reasonable expenses associated with the transaction.
6. Copyright and Reproduction
The Buyer may not reproduce, distribute, or use images of the artwork for commercial purposes without the explicit written permission of the Seller or the artist.
7. Privacy Policy
The Seller may collect and process personal information in accordance with our Privacy Policy, which is available on our website or upon request.
8. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the competent courts in the United Kingdom.
9. Entire Agreement
This Agreement constitutes the entire agreement between the Buyer and the Seller concerning the sale of artwork and supersedes all prior agreements and understandings, whether oral or written.
10. Amendments
Any amendments to this Agreement must be made in writing and signed by both parties. By making a purchase, you acknowledge that you have read, understood, and agreed to these Terms & Conditions of Sale for Artwork. 11. Buyer's Due Diligence
The Buyer acknowledges and agrees that it is their responsibility to conduct their own due diligence regarding the artwork, including but not limited to its authenticity, condition, and any legal or tax implications. The Seller does not provide any guarantees or warranties beyond what is explicitly stated in this Agreement. The Buyer should seek independent professional advice if needed before making a purchase.
